    Al gezocht, maar nog niet een eenduidige oplossing gevonden.

     

    Situatie: Ik ben in contact met een bedrijf dat een softwarepakket wil kopen/huren. Ik ken een ander bedrijf (eenmanszaak) dat dit deels heeft en deels kan ontwikkelen. Ik en het eenmansbedrijf willen dit samen gaan oppakken. Dus allebei een verdeling van de winst. In welke vorm kunnen we dit het beste gieten? Een aparte BV? Ik hoef en wil verder niets met de andere diensten van de eenmanszaak te maken te hebben.

    Afspraken maken over de samenwerking en elkaar factureren.

    Zou ik voor een eenmalig iets geen aparte rechtsvorm van maken.

    Denk je dat er meer vraag is naar dezelfde 'oplossing'?

    Ja dat is het punt, het wordt een huur constructrie met maandelijkse inkomsten. Dit wordt via een groot afzetkanaal hopelijk steeds groter

    Het is daarom ook niet zozeer bemiddeling, maar gewoon het leveren van de software oplossing

    Ok, maar blijft er na oplevering dan een inkomensstroom bestaan voor jullie?

     

    Ja het zal een maandelijks doorlopend huurbedrag zijn

    En zijn er bijzondere risico's aan verbonden?

     

    Nee dat denk ik niet. Uiteraard moeten er de standaard algemen voorwaarden voor ICT dienstverlening komen, maar verder geen bijzonderheden.

    VOF dan maar...

     

    Ok, kun je aangeven waarom VOF ipv bijvoorbeeld BV. Ik snap dat bij hoog risico een BV beter is. Is dit puur financieel?
