    Kan je een VOF juridisch omzetten middels ruisende/geruisloze inbreng naar een BV? Is dat alleen een fiscaal begrip of is dergelijke inbreng tevens een overdracht van activa juridisch?

     

    Na wat leeswerk op internet kom ik tot de conclusie, denk ik, dat een VOF juridisch aan een BV dient te worden geleverd (bijvoorbeeld dmv storting op de aandelen). Betekent dit dat de VOF eerst ontbonden moet worden cq de gemeenschap moet worden verdeeld en vervolgens moet worden overgedragen of kan je de gemeenschap in delen inbrengen (de VOF partners leveren een deel van de gemeenschap) zonder te ontbinden?

     

    Ik wil mijn bedrijf verder uitbreiden en de VOF past nu niet meer.

    Scherp, maar beiden issues lopen samen. De VOF vraag ik me af of die nog wel bestaat en hoe de inbreng op de aandelen dan is gebeurd en of dat nog moet gebeuren (kan dit wel). De BV verkoopt assets.

    Je weet niet meer of je eigen vof nog bestaat???

    Als ik dit verhaal mag geloven, wordt bij een geruisloze inbreng de VOF niet gestaakt. Alleen de vermogensbestanddelen gaan over op de BV.
