    Hi HLers,

    Wie weet hoe je een earn out betaling boekt in je administratie van een holding?

    Situatie:
    Ik heb een bedrijf verkocht in 2015 voor bedrag x. Daarbij is een Earn Out afgesproken voor vijf jaar. Die is nu behaald. En er is een bedrag uitgekeerd.

    In feite is dit een uitgestelde, resultaatafhankelijke vergoeding voor de overdracht van de aandelen.

    Wie kan me uitleggen hoe het theoretisch werkt?

    Als het onderdeel was van de koopsom voor de aandelen, dan zou ik het boeken als resultaat deelneming en in de aangifte VPB weer aftrekken bij de deelnemingsvrijstelling.
